These Terms of Service govern your use of ADWORLDT's services. By accessing or using our services, you agree to be bound by these terms.
By accessing and using ADWORLDT's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you should not use our services.
ADWORLDT provides digital marketing services including but not limited to:
As a client, you agree to:
4.1 Pricing: All prices are quoted in Euros (EUR) unless otherwise specified. Prices are subject to change with 30 days notice.
4.2 Payment Schedule: Payment terms will be specified in your service agreement. Standard terms are 50% upfront and 50% upon project completion for project-based work, or monthly billing for ongoing services.
4.3 Late Payments: Invoices are due within 14 days of the invoice date. Late payments may incur a fee of 1.5% per month or the maximum allowed by law.
4.4 Refunds: Refunds are handled on a case-by-case basis. Work already completed is non-refundable.
5.1 Client Content: You retain all rights to content, materials, and information you provide to us. You grant us a license to use this content for the purpose of providing services.
5.2 Deliverables: Upon full payment, you own the final deliverables created specifically for you. We retain the right to use work samples for portfolio and marketing purposes unless otherwise agreed.
5.3 ADWORLDT Property: All methodologies, processes, templates, and tools developed by ADWORLDT remain our property.
Both parties agree to keep confidential information private and not disclose it to third parties without written consent. This obligation continues for 2 years after the termination of services.
Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from other sources.
We will make reasonable efforts to meet agreed deadlines and performance targets. However, we cannot guarantee specific results from marketing campaigns as outcomes depend on various factors beyond our control.
We will provide regular reports and updates as specified in your service agreement.
8.1 By Client: You may terminate services with 30 days written notice. You are responsible for payment for all work completed up to the termination date.
8.2 By ADWORLDT: We may terminate services immediately if you breach these terms, fail to make payments, or engage in abusive behavior.
8.3 Effect of Termination: Upon termination, we will provide you with all completed work and return any client materials. Outstanding invoices remain due.
To the maximum extent permitted by law, ADWORLDT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
We may use third-party services (such as advertising platforms, analytics tools, or hosting providers) to deliver our services. You acknowledge that such third-party services are governed by their own terms and conditions.
We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding specific results or outcomes.
Services are provided "as is" without warranty of any kind, whether express or implied.
You agree to indemnify and hold ADWORLDT harmless from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any law or rights of a third party.
These terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Hoofddorp, Netherlands.
We encourage resolving disputes through good-faith negotiation before pursuing legal action.
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, war, terrorism, pandemics, or government actions.
These terms, together with any service-specific agreements, constitute the entire agreement between you and ADWORLDT regarding our services.
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
